1. Agreement to Terms

By accessing or using WP Agency's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Services

WP Agency provides web development, design, consulting, and related digital services. The specific scope of work, deliverables, timelines, and compensation will be outlined in individual project agreements or statements of work (SOW).

  • UI/UX design services
  • Digital transformation consulting
  • Maintenance and support services

3. Client Responsibilities

Clients agree to:

  • Provide timely feedback and approvals as outlined in project timelines
  • Supply necessary content, credentials, and access to systems
  • Respond to requests for information within agreed timeframes
  • Make timely payments according to the agreed payment schedule
  • Ensure all provided content does not infringe on third-party rights

4. Payment Terms

Payment schedules are established in individual project agreements. Standard terms include:

  • Initial deposit required to commence work (typically 30-50%)
  • Milestone payments as defined in the SOW
  • Final payment due upon project completion
  • Invoices are payable within 14 days of receipt
  • Late payments may incur interest charges of 1.5% per month

5. Intellectual Property

Upon full payment, clients receive ownership of the final deliverables as specified in the project agreement. WP Agency retains rights to:

  • Pre-existing intellectual property and tools
  • General methodologies and processes
  • The right to showcase work in portfolios and marketing materials
  • Reusable code components and frameworks

6. Project Timeline and Delays

While we strive to meet all agreed timelines, project schedules may be affected by:

  • Delayed client feedback or approvals
  • Scope changes or additions
  • Technical challenges beyond reasonable anticipation
  • Third-party service dependencies

WP Agency will promptly communicate any anticipated delays and work collaboratively to minimize impact.

7. Revisions and Changes

Each project includes a specified number of revision rounds. Additional revisions or scope changes may be subject to additional fees. All change requests should be submitted in writing and will be evaluated for impact on timeline and budget.

8. Warranties and Disclaimers

WP Agency warrants that services will be performed in a professional manner consistent with industry standards. However, we do not guarantee:

  • Specific search engine rankings or traffic levels
  • Compatibility with all future browsers or devices
  • Zero downtime or uninterrupted service
  • Results from third-party integrations or services

9. Limitation of Liability

WP Agency's liability is limited to the total amount paid by the client for the specific project. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or data.

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This obligation continues beyond project completion.

11. Termination

Either party may terminate an agreement with written notice. In the event of termination:

  • Client pays for work completed to date
  • WP Agency delivers all completed work upon payment
  • Outstanding invoices remain due
  • Confidentiality obligations continue

12. Maintenance and Support

Post-launch support is available through separate maintenance agreements. Support services may include security updates, bug fixes, and technical assistance.

13. Third-Party Services

Projects may require third-party services (hosting, plugins, APIs, etc.). Clients are responsible for any fees associated with these services. WP Agency is not liable for third-party service failures or changes.

14. Indemnification

Clients agree to indemnify WP Agency against claims arising from client-provided content, unauthorized use of deliverables, or violations of these terms.

15. Governing Law

These terms are governed by the laws of the United States. Any disputes will be resolved through binding arbitration or in accordance with the dispute resolution process outlined in individual project agreements.

16. Changes to Terms

WP Agency reserves the right to modify these terms at any time. Continued use of our services following any changes constitutes acceptance of the modified terms.
